1. Introduction and Acceptance

These Terms and Conditions ("Terms") govern your access to and use of the PhonoLogic platform, including the website at phonologic.ca, all related services, and any content generated through the platform (collectively, the "Service"). The Service is provided by PhonoLogic Learning Systems Inc. ("PhonoLogic," "we," "us," or "our"), a Canadian corporation with its registered address at PO Box 98124, Toronto RPO Queen Carlaw, ON M4M 3L9.

By creating an account, accessing, or using the Service, you agree to be bound by these Terms, our Privacy Policy, and any additional terms referenced herein. If you do not agree to these Terms, you must not use the Service.

"You" and "your" refer to the individual creating and managing the account. If you are using the Service on behalf of a school, school district, or other organization, you represent that you have authority to bind that organization to these Terms.

2. Definitions

  • Account: Your registered PhonoLogic account, used to access the Service.
  • Student Profile: A reading profile created by an Account holder for a child or student. Student Profiles do not have independent login credentials.
  • Content: Stories, text, reading materials, and other outputs generated by the Service.
  • AI-Generated Content: Stories and reading materials produced by the Service using artificial intelligence (Google Gemini).
  • Subscription: A paid plan that provides access to premium features of the Service.
  • Educator Account: An Account created by a teacher, tutor, or school administrator for classroom or instructional use.
  • Device: Any internet-connected device (phone, tablet, computer) used to access the Service.

3. Age Requirement and Account Eligibility

You must be at least 18 years of age to create a PhonoLogic account. The Service is designed for use by parents, teachers, tutors, and other adults who work with children learning to read. Children do not create accounts or interact with PhonoLogic directly. Adults create Student Profiles on behalf of children and manage all aspects of the child's reading experience.

By creating an account, you represent and warrant that:

  • You are at least 18 years old.
  • You have the legal capacity to enter into these Terms.
  • If creating Student Profiles for children, you are the child's parent, legal guardian, or authorized educator.
  • All information you provide during registration is accurate and complete.

4. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to:

  • Use a strong, unique password and keep it secure.
  • Notify us immediately at privacy@phonologic.ca if you suspect unauthorized access to your account.
  • Not share your account with others or allow others to access it on your behalf.
  • Keep your account information up to date.

PhonoLogic is not liable for any loss or damage resulting from unauthorized use of your account.

5. The Service

5.1 What PhonoLogic Does

PhonoLogic is an AI-powered phonics education platform. It generates decodable reading stories tailored to specific phonics patterns and reading levels. The Service is intended to support structured literacy instruction for children learning to read in English.

5.2 AI-Generated Content Disclaimer

All stories and reading materials generated by PhonoLogic are created by artificial intelligence (currently Google Gemini). You acknowledge and agree that:

  • AI-Generated Content is produced algorithmically and is not written or individually reviewed by humans before delivery.
  • While we apply content safety filters and phonics accuracy checks, no automated system is perfect. AI-Generated Content may occasionally contain errors, awkward phrasing, or unexpected output.
  • AI-Generated Content is intended as a supplementary educational resource and does not replace professional reading instruction, curriculum, or assessment by qualified educators.
  • You are responsible for reviewing AI-Generated Content before sharing it with children, and for reporting any content concerns using the built-in reporting feature or by contacting us at privacy@phonologic.ca.
  • PhonoLogic does not guarantee that AI-Generated Content will be free from all errors, biases, or inappropriate material, though we actively work to minimize such occurrences.

5.3 Service Availability

We strive to keep PhonoLogic available and reliable, but we do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to maintenance, updates, server issues, or circumstances beyond our control. We do not offer a formal Service Level Agreement (SLA).

6. Subscription and Billing

6.1 Free and Paid Plans

PhonoLogic offers both free and paid subscription plans. Free accounts have limited access to features. Paid plans unlock additional features as described on our pricing page. Feature availability may change over time.

6.2 Recurring Billing

Paid subscriptions are billed on a recurring basis (monthly or annually, depending on the plan you select). By subscribing to a paid plan, you authorize PhonoLogic to charge your payment method on a recurring basis at the then-current subscription rate until you cancel. All payments are processed securely through Stripe. PhonoLogic does not store your full credit card number.

6.3 Price Changes

We may change subscription prices from time to time. If we increase the price of your plan, we will notify you at least 30 days before the change takes effect. If you do not agree to the new price, you may cancel your subscription before the next billing cycle.

6.4 Cancellation

You may cancel your subscription at any time from your account settings. Upon cancellation:

  • Your paid features remain active until the end of your current billing period.
  • You will not be charged for subsequent billing periods.
  • Your account and Student Profiles will revert to free-tier access. Your data (stories, progress, profiles) will be retained.

6.5 Refunds

If you believe you have been charged in error, or if you are unsatisfied with the Service within 14 days of your initial subscription purchase, please contact us at privacy@phonologic.ca. We will review refund requests on a case-by-case basis. Refunds are issued to the original payment method. Renewals (as opposed to initial purchases) are generally non-refundable, but we may make exceptions at our discretion.

6.6 Failed Payments

If a recurring payment fails, we may attempt to charge your payment method again. If payment cannot be collected after reasonable attempts, your subscription may be downgraded to the free tier. We will notify you by email before any downgrade takes effect.

7. Educator and Classroom Use

7.1 Educator Accounts

Teachers, tutors, and school administrators may create Educator Accounts to use PhonoLogic in instructional settings. Educator Accounts allow you to create and manage Student Profiles for students in your care.

7.2 Student Data Responsibility

If you are an educator creating Student Profiles for students, you represent that:

  • You have obtained any required parental consent or institutional authorization to create profiles and collect reading data for those students, in accordance with applicable laws (including PIPEDA, COPPA, and any provincial education privacy legislation).
  • You will use Student Profiles and reading data solely for legitimate educational purposes.
  • You will promptly delete or request deletion of Student Profiles for students who are no longer in your care.

7.3 School District Agreements

School districts or institutions seeking to deploy PhonoLogic across multiple classrooms may contact us at privacy@phonologic.ca to discuss institutional licensing and data handling agreements.

8. Data and Privacy

8.1 Privacy Policy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information and the personal information of children associated with Student Profiles.

8.2 Data Collection Acknowledgment

By using the Service and creating Student Profiles, you acknowledge and consent to the collection and processing of:

  • Account information (name, email address, account type).
  • Student Profile information (first name or alias, reading level, phonics scope selections).
  • Reading activity data (stories generated, words practiced, assessment results, progress metrics).
  • Usage data (feature usage, session duration, device and browser information).

This data is used to provide and improve the Service, personalize the reading experience, and generate progress reports. For full details, see our Privacy Policy.

8.3 Children's Data

PhonoLogic takes the privacy of children's data seriously. Children do not create accounts or provide personal information directly. All children's reading data is managed by the adult Account holder. We comply with applicable Canadian privacy legislation (PIPEDA) and applicable provisions of COPPA. See our Privacy Policy for details on children's data handling.

9. Acceptable Use

PhonoLogic is an educational platform designed for phonics instruction. You agree to use the Service only for its intended educational purpose. You agree not to:

  • Use the Service to generate content for any purpose other than reading education and literacy support.
  • Attempt to manipulate the AI to produce harmful, offensive, discriminatory, or age-inappropriate content.
  • Use the Service to harass, harm, or exploit any person, especially children.
  • Reverse engineer, decompile, or disassemble any part of the Service.
  • Scrape, data mine, or use automated tools to extract content or data from the Service.
  • Interfere with or disrupt the Service, its servers, or its connected networks.
  • Share, resell, or redistribute your account access or AI-Generated Content for commercial purposes without written permission.
  • Upload or transmit viruses, malware, or other harmful code.
  • Impersonate another person or entity, or misrepresent your affiliation.
  • Violate any applicable law or regulation in connection with your use of the Service.

We reserve the right to suspend or terminate accounts that violate this Acceptable Use Policy, with or without prior notice.

10. License and Intellectual Property

10.1 License to Use the Service

Subject to these Terms, PhonoLogic grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal or educational purposes in accordance with these Terms.

10.2 PhonoLogic's Intellectual Property

The Service, including its design, software, algorithms, text, graphics, logos, wordbank data, phonics scope and sequence system, and all other content and materials (excluding AI-Generated Content provided to you), are owned by PhonoLogic or its licensors and are protected by Canadian and international copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works of any part of the Service without our prior written consent.

10.3 AI-Generated Content Ownership

[REVIEW WITH LAWYER] Ownership of AI-generated content is an evolving area of law. The following reflects our current position.

Stories generated by PhonoLogic for your Student Profiles are provided for your personal or classroom educational use. You may print, share with parents, and use AI-Generated Content within your educational practice. You may not commercially redistribute or resell AI-Generated Content. PhonoLogic retains the right to use anonymized, aggregated data derived from content generation to improve the Service.

10.4 Feedback and Suggestions

If you provide us with feedback, ideas, or suggestions about the Service, you grant PhonoLogic a non-exclusive, perpetual, irrevocable, royalty-free license to use, modify, and incorporate that feedback into the Service without obligation or compensation to you.

11. Cookies and Tracking

PhonoLogic uses cookies and similar technologies to operate the Service, maintain your login session, remember your preferences (such as dark mode), and understand how the Service is used. Essential cookies (authentication, security) are required for the Service to function. Analytics cookies help us improve the platform. You can manage cookie preferences through the cookie consent banner on the website. For details, see our Privacy Policy.

12. Third-Party Services

The Service relies on and may link to third-party services, including:

  • Google Gemini for AI story generation.
  • Stripe for payment processing.
  • Google Cloud (Firestore) for data storage.
  • Vercel for hosting and deployment.
  • Upstash (Redis) for caching.

PhonoLogic is not responsible for the practices, availability, or content of third-party services. Your use of third-party services is subject to their respective terms and privacy policies. We encourage you to review the terms of any third-party service that processes your data.

13. Modifications to the Service

PhonoLogic reserves the right to modify, update, or discontinue any part of the Service at any time, with or without notice. This includes adding or removing features, changing the AI model used for content generation, updating the phonics scope and sequence, and modifying the user interface. We are not liable to you for any modification, suspension, or discontinuation of the Service.

14. Term and Termination

14.1 Term

These Terms remain in effect for as long as you have an account with PhonoLogic or use the Service.

14.2 Termination by You

You may terminate your account at any time by contacting us at privacy@phonologic.ca or through your account settings. If you have an active subscription, cancellation and billing terms in Section 6 apply.

14.3 Termination by PhonoLogic

We may suspend or terminate your account at any time if:

  • You violate these Terms or the Acceptable Use Policy.
  • Your use of the Service poses a security risk or may harm other users.
  • We are required to do so by law.
  • We discontinue the Service entirely.

Where practicable, we will provide notice before termination and an opportunity to export your data.

14.4 Effect of Termination

Upon termination, your right to access the Service ceases immediately. We may retain certain data as required by law or for legitimate business purposes (such as fraud prevention). Sections that by their nature should survive termination (including Limitation of Liability, Indemnification, and Governing Law) will survive.

15. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PHONOLOGIC DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Without limiting the foregoing, PhonoLogic does not warrant that:

  • The Service will be uninterrupted, error-free, or secure.
  • AI-Generated Content will be accurate, appropriate, or free from errors.
  • The Service will meet your specific requirements or expectations.
  • Any defects will be corrected in a particular timeframe.

PhonoLogic is an educational tool, not a substitute for professional reading assessment, diagnosis, or intervention by qualified educators or specialists.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PHONOLOGIC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.

PHONOLOGIC'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO PHONOLOGIC IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100).

Some provinces and jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In such cases, PhonoLogic's liability will be limited to the fullest extent permitted by applicable law.

17. Indemnification

You agree to indemnify, defend, and hold harmless PhonoLogic and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use of the Service.
  • Your violation of these Terms.
  • Your violation of any applicable law or the rights of any third party.
  • Any data you provide to the Service, including Student Profile information.
  • Any claim by a parent, guardian, or school related to Student Profiles you created without proper authorization.

18. Copyright and Content Reporting

If you believe that any content on the Service infringes your copyright or other intellectual property rights, please contact us at privacy@phonologic.ca with the following information:

  • A description of the copyrighted work you claim has been infringed.
  • A description of the infringing material and its location on the Service.
  • Your contact information (name, address, email, phone number).
  • A statement that you have a good faith belief the use is not authorized.
  • A statement under penalty of perjury that the information is accurate and you are authorized to act on behalf of the copyright owner.
  • Your physical or electronic signature.

If you encounter AI-Generated Content that you believe is inappropriate, inaccurate, or concerning for any reason, please use the in-app content reporting feature or contact us directly.

19. Dispute Resolution

19.1 Informal Resolution

Before initiating any formal proceedings, you agree to first contact us at privacy@phonologic.ca and attempt to resolve the dispute informally for at least sixty (60) days.

19.2 Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

19.3 Jurisdiction

[REVIEW WITH LAWYER] Arbitration clause vs. court jurisdiction, and enforceability of mandatory arbitration under Canadian consumer protection law.

Any disputes arising out of or related to these Terms or the Service that cannot be resolved informally shall be subject to the exclusive jurisdiction of the courts of the Province of Ontario, Canada. You and PhonoLogic each waive any objection to jurisdiction and venue in such courts.

19.4 Limitation Period

Any cause of action arising out of or related to the Service must be commenced within one (1) year after the cause of action accrues. Otherwise, such cause of action is permanently barred.

20. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email (to the address associated with your account) or by posting a prominent notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date of revised Terms constitutes acceptance of those changes. If you do not agree to the revised Terms, you must stop using the Service and may close your account.

21. General Provisions

21.1 Entire Agreement

These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and PhonoLogic regarding the Service and supersede all prior agreements and understandings.

21.2 Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.

21.3 Waiver

PhonoLogic's failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision. A waiver of any provision is effective only if in writing and signed by PhonoLogic.

21.4 Assignment

You may not assign or transfer these Terms or your rights under them without PhonoLogic's prior written consent. PhonoLogic may assign these Terms without restriction.

21.5 Force Majeure

PhonoLogic is not liable for any failure or delay in performing obligations under these Terms due to circumstances beyond our reasonable control, including natural disasters, pandemic, war, government action, power failure, internet disruption, or third-party service outages.

21.6 No Third-Party Beneficiaries

These Terms do not create any rights for any third party. Nothing in these Terms is intended to confer any benefit on any person or entity other than you and PhonoLogic.

21.7 Headings

Section headings are for convenience only and have no legal effect.
